Terms of Service

Agreement

These Terms of Service govern your use of the Nida'a platform provided by Nidaa AI, Inc. ("Nidaa", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to bind it.

Definitions

  • "Service" means the Nida'a platform, including our website, dashboard and APIs.
  • "Channel Provider" means a third-party messaging or social platform that you connect to the Service, such as Meta (WhatsApp, Instagram, Facebook Messenger) or Telegram.
  • "Customer Data" means the contacts, messages, templates, campaigns and other content you submit to or create in the Service.
  • "Channel Terms" means the terms, policies and platform rules of each Channel Provider, such as the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the Meta Platform Terms and the Telegram Terms of Service.

The Service and your account

Nida'a is a platform for managing customer communication, including campaigns, message templates, contacts and conversations across the channels you connect. We may change or improve features over time.

You must provide accurate information, keep your credentials and API keys secure, and you are responsible for all activity under your account. You must be at least 18 and able to enter a binding contract.

Fees and payment

Paid plans are charged as stated at purchase. Unless stated otherwise, fees are non-refundable and exclude taxes. Charges set by Channel Providers, such as Meta's WhatsApp messaging charges, are separate from our fees unless we tell you otherwise. We will give notice before changing prices.

Customer Data and ownership

You keep ownership of your Customer Data. You grant us a limited license to host and process it only to provide the Service. We and our licensors own the Service, including its software, branding and documentation. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

Acceptable use

You must not:

  • Send spam or unsolicited messages.
  • Message anyone who has not given the consent required by law and by the Channel Terms.
  • Send unlawful, deceptive, harassing or harmful content.
  • Violate the Channel Terms.
  • Disrupt, reverse engineer or gain unauthorized access to the Service.
  • Resell the Service without our written permission.

Your contacts and messages

You are responsible for your contact lists and message content. You must have a lawful basis, including opt-in consent, for every person you message, honor opt-out requests, and comply with applicable laws. You are the controller of your contacts' data and we act as your processor.

Channels and third parties

The Service relies on Channel Providers such as Meta and Telegram. You must comply with the Channel Terms. A Channel Provider may limit, suspend or change access, features or pricing, and we are not responsible for its actions or outages. A channel may become unavailable in the Service if its provider changes its platform or terms.

Suspension

We may suspend or limit your access immediately if you breach these Terms or the Channel Terms, if your use creates risk or legal exposure for us or others, or if you fail to pay. Where practical, we will tell you why and give you a chance to fix the problem.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not guarantee uninterrupted or error-free operation, or that messages will be delivered.

Indemnity

You will defend and indemnify us against claims arising from your Customer Data, your messaging practices or your breach of these Terms.

Limitation of liability

To the extent permitted by law, Nidaa AI, Inc. is not liable for indirect, incidental, special or consequential damages, or for loss of profits, data or goodwill. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.

Term, termination and survival

These Terms apply for as long as you use the Service. You may stop using the Service at any time, and you may delete or suspend your account from your account settings, with the option to delete your data as well. We may terminate your access if you breach these Terms. After termination we handle your data as described in our Privacy Policy and on our Data Deletion page. Provisions that by their nature should continue, including ownership, disclaimers, indemnity, limitation of liability and governing law, survive termination.

General

  • Entire agreement: these Terms and the documents they refer to are the whole agreement between you and us about the Service.
  • Assignment: you may not transfer your rights under these Terms without our consent. We may transfer ours in a merger, acquisition or sale of assets.
  • Severability: if a provision is unenforceable, the rest of these Terms stays in effect.
  • Force majeure: neither of us is liable for delays or failures caused by events beyond our reasonable control, including outages of third-party networks.
  • Notices: we may notify you by email or in the dashboard.

Changes to these Terms

We may update these Terms. We will post the new version with a new date and notify you of material changes. Continued use of the Service means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the jurisdiction in which Nidaa AI, Inc. is incorporated, without regard to conflict-of-law rules.
